These Terms of Service ("Terms") govern your access to and use of Breakdown's mobile and web applications, websites, APIs, and related services (the "Services"). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Operator: Breakdown Foundation
1) Who May Use the Services
- You must be at least 13 years old (or 16 in the EEA/UK). If under the age of majority, you must have parental/guardian consent.
- If you use the Services on behalf of an organization, you have authority to bind that organization; "you" includes it.
2) Accounts & Security
- You are responsible for your credentials and all activity under your account.
- Notify us of unauthorized use or security incidents at hello@breakdown.us.
- We may suspend/terminate accounts for violations, risk, or misuse.
3) License & Ownership
- We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial use, subject to these Terms.
- We and our licensors own the Services (excluding your content). All rights reserved.
4) Acceptable Use
You agree not to:
- Violate laws or others' rights; infringe IP or privacy.
- Access non-public areas, bypass security/rate limits, or probe vulnerabilities.
- Reverse engineer or decompile except as allowed by law/open-source licenses.
- Use scrapers/bots without written consent; bulk download or replicate databases.
- Upload malware or disrupt the Services.
- Harvest personal data except as permitted by law and our Privacy Policy.
- Use the Services for prohibited political campaigning, fundraising, or solicitation.
5) Your Content & Feedback
- Ownership: You retain ownership of your User Content.
- License to us: You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting), display, and distribute your User Content to operate the Services.
- Responsibility: You warrant you have rights to your content. We may remove content that violates these Terms or law.
- Feedback: You grant us a perpetual, worldwide, royalty-free license to use feedback without restriction.
6) Public Data, Accuracy & No Legal Advice
- We display public/third-party data (e.g., legislative text, votes, FEC filings). Data may be delayed, incomplete, or erroneous. Verify with official sources.
- Content is informational/educational, not legal, financial, or tax advice. Breakdown Foundation is not affiliated with or endorsed by any government body.
7) Third-Party Services
Linked or integrated services (payments, app stores, analytics) are governed by their terms/policies. We are not responsible for them.
8) Payments & Donations
- Processed by third parties (e.g., Stripe, Apple). We do not store full card numbers.
- If donations are tax-deductible, receipts come from the applicable nonprofit. You are responsible for tax treatment.
- Except where required by law, all charges/donations are final.
9) Mobile App Terms
- Apple: These Terms are between you and Breakdown Foundation, not Apple. Apple is a third-party beneficiary and may enforce these Terms. Support is provided by Breakdown Foundation.
- Permissions (notifications, location) are optional and can be disabled in device settings.
10) Beta/Labs Features
Pre-release features may be offered. Beta is "as is," may change or be discontinued, and may have additional terms. Do not rely on Beta for critical use.
11) AI-Generated Content Notice
Some outputs may be machine-generated and can be inaccurate or incomplete. Validate important information. You are responsible for your use of AI outputs.
12) Suspension & Termination
We may suspend/terminate access at any time (e.g., breach, risk, inactivity). Sections that reasonably should survive (ownership, disclaimers, liability, disputes) survive.
13) Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant accuracy, reliability, or uninterrupted, error-free operation.
14) Limitation of Liability
To the maximum extent permitted by law, Breakdown Foundation and its affiliates are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or business, even if advised of the possibility. Our aggregate liability for all claims shall not exceed the greater of (A) amounts you paid us in the 12 months before the event or (B) USD $100. Some jurisdictions limit these exclusions; where prohibited, they apply to the fullest extent allowed.
15) Indemnification
You will defend, indemnify, and hold harmless Breakdown Foundation and its affiliates from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or law.
16) Governing Law & Dispute Resolution
- These Terms are governed by the laws of [GOVERNING LAW STATE/COUNTRY], excluding conflict-of-laws rules.
- Optional Arbitration/Class Waiver: Except for small-claims, disputes will be resolved by binding arbitration administered by [ARBITRATION FORUM]. YOU AND WE WAIVE JURY TRIALS AND CLASS ACTIONS. (Not applicable where prohibited, including certain EEA/UK contexts.)
17) Copyright/DMCA
Send notices to hello@breakdown.us including:
- (a) your contact info;
- (b) ID of the copyrighted work;
- (c) ID of the infringing material;
- (d) a good-faith statement;
- (e) a statement under penalty of perjury; and
- (f) your signature.
18) Changes to the Services/Terms
We may modify the Services and these Terms. We will post updated Terms with a new effective date; material changes may be notified in-app or by email. Continued use after changes = acceptance.
19) Miscellaneous
- Privacy: See our Privacy Policy.
- Assignment: You cannot assign these Terms without our consent; we may assign them.
- Severability: If any provision is unenforceable, the rest remains in effect.
- Waiver: Failure to enforce is not a waiver.
- Force Majeure: We are not liable for events beyond our reasonable control.
- Export: You must comply with U.S. export/sanctions laws.
- Entire Agreement: These Terms and referenced policies are the entire agreement.
